Program Requirements

Business Valuations play an integral role in mergers and acquisitions, corporate tax planning, litigation, quantification of damages, venture capital, and private equity. The objective of this program is to provide a sound working knowledge of business valuation theory and practice for those interested in becoming Chartered Business Valuators. This program also meets the educational requirements of the Canadian Institute of Chartered Business Valuators (CICBV) and prepares students to take the CICBV Membership Qualification Exam.

    Overview

    Business : This course provides an introduction to business and securities valuations as an area of specialized practice. The focus is placed on the role of the Business Valuator, valuation terminology and principles, professional standards and practice issues, approaches to business value determinations, and the earnings-based valuation methodologies.

    Business : This course deals with tax-related valuation issues. Emphasis is placed on the fundamental principles of the Canadian tax system, impact of taxation on an enterprise, comparable company multiples such as key valuator tools, adjusted book value method, and corporate law concerns relevant to the valuation process.

    Overview

    Business : This course builds on the Introductory and Intermediate Business Valuation courses and focuses on more sophisticated valuations techniques such as valuation of various classes of shares, financial instruments, valuation of start-ups and high-tech companies, measurement of Fair Value in accordance with International Financial Reporting Standards (鈥淚FRS鈥), contingent consideration, tax loss carry forwards, real property (land and buildings) and equipment.

Emphasis is placed on such areas as law, corporate reorganizations, quantification of damages and expert witness scenarios, earn-outs, taxation of damage awards; employee stock ownership plans (ESOPs) and public company matters.

    Business : This course expands on the concepts covered in the Advanced Business Valuation course and focuses on the international financial reporting standards (鈥淚FRS鈥) from a public company perspective. Key aspects of the purchase price allocation process; introduction to the valuation of investment entities and the relevant accounting standards; impairment test relating to goodwill and intangible assets; the role of a valuator in an audit engagement.
